Our Terms & Conditions

This page outlines the agreement between Nineteen 77 Media Limited and our clients.

It details our service terms, payment policies, and legal obligations, ensuring transparency and mutual understanding.

1. Definitions

  • “Client” refers to any individual or entity engaging Nineteen 77 Media Limited for services.
  • “Nineteen 77 Media Limited” refers to the company providing the services.
  • “Services” refers to web design, WordPress development, branding, design, marketing, maintenance, support, and any other services provided.
  • “Project” refers to a specific piece of work undertaken by Nineteen 77 Media Limited for the Client.
  • “Assets” refers to all materials created or provided by Nineteen 77 Media Limited, including designs, code, content, and documentation.

2. Acceptance of Terms

  • By engaging Nineteen 77 Media Limited for any services, the Client agrees to be bound by these Terms & Conditions.

3. Services Provided

  • Nineteen 77 Media Limited provides a range of services, including but not limited to:
  • Web design and development
  • WordPress development
  • Branding and design
  • Marketing services
  • Website maintenance and support

4. Bespoke Web Design, WordPress Development, Design, Marketing Projects (Set Term Contracts)

  • Projects are based on the agreed scope of work.
  • Assets created during the Project remain the property of Nineteen 77 Media Limited until full payment is received. Upon full payment, the Client is granted a non-exclusive license to use the Assets for their intended purpose.
  • Payment terms will be agreed upon in the project proposal, which may include upfront payment, monthly instalments, or payment upon completion.
  • Termination of the project by either party requires a 3-month written notice period.

Reasonable grounds for termination by Nineteen 77 Media Limited:

  • Failure of the client to provide needed information or assets.
  • Non payment of invoices.
  • Client changes to the scope of work that drastically alter the project.

Reasonable grounds for termination by the client:

  • Nineteen 77 Media Limited failing to deliver work within agreed timeframes.
  • Work delivered not matching agreed specifications.

5. Website Maintenance and Support Packages

  • Maintenance and support packages are invoiced monthly.
  • Termination of a maintenance and support package by either party requires a 3-month written notice period.

Reasonable grounds for termination by Nineteen 77 Media Limited:

  • Non payment of invoices.
  • Client alterations to the website that negatively affect the ability to maintain and support it.

Reasonable grounds for termination by the client:

  • Failure of Nineteen 77 Media Limited to provide agreed support and maintenance.

6. Payment Terms

  • All invoices are payable within 7 days of the invoice date.
  • Nineteen 77 Media Limited reserves the right to suspend services for overdue invoices.
  • Maintenance and support packages are invoiced monthly in advance.
  • Nineteen 77 Media Limited reserve the right to add late payment fees, in accordance with UK law, to overdue invoices.

7. Intellectual Property

  • All intellectual property rights in the Services and Assets created by Nineteen 77 Media Limited remain the property of Nineteen 77 Media Limited until full payment is received.
  • Upon full payment, the Client is granted a non-exclusive license to use the Assets.

8. Liability

  • Nineteen 77 Media Limited shall not be liable for any indirect, incidental, or consequential damages.
  • The Client is responsible for ensuring the accuracy and legality of all content provided.
  • Nineteen 77 Media Limited will make every reasonable effort to ensure websites are secure and functional, but cannot guarantee against all potential issues.

9. Confidentiality

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the Project.

10. Data Protection

  • Nineteen 77 Media Limited will comply with all applicable UK data protection laws, including the GDPR.

11. Force Majeure

  • Neither party shall be liable for any failure or delay in performing their obligations due to circumstances beyond their reasonable control.  

12. Governing Law

  • These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.  

13. Amendments

  • Nineteen 77 Media Limited reserves the right to amend these Terms & Conditions at any time. Clients will be notified of any changes.

14. Dispute Resolution

  • Any disputes arising from these terms and conditions shall be resolved through amicable negotiation. If a resolution cannot be reached through negotiation, the dispute shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
